Terms of Service

1. Agreement to terms

By accessing or using Aeqora ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. The contracting operator legal entity and address require confirmation before these terms are finalised.

2. Description of service

Aeqora provides EU AI Act compliance management software for businesses deploying or developing AI systems. The Service includes AI system registration and classification, gap assessment tools, evidence management, document generation, and compliance monitoring. The Service is provided "as is" for informational and compliance-management purposes.

Not legal advice. Aeqora is a software tool. It does not constitute legal advice and is not a substitute for qualified legal counsel. Regulatory determinations must be validated by your legal advisors and, where required, your national competent authority.

3. Account registration

  • You must provide accurate, complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You must notify us immediately of any unauthorised access to your account.
  • One account per legal entity. You may invite team members under your organisation account.
  • You must be at least 18 years old and authorised to enter contracts on behalf of your organisation.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law.
  • Attempt to gain unauthorised access to other organisations' data.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Scrape, crawl, or systematically download data from the Service without our written consent.
  • Upload or transmit malware, viruses, or other harmful code.
  • Use the Service to generate, store, or process data that violates third-party rights.
  • Misrepresent compliance status generated by the Service to regulators or third parties as a definitive legal determination.

5. Subscription and payment

  • Plans: Free, Starter (€49/mo), Professional (€149/mo), Business (€399/mo). Annual plans available at a discount.
  • Billing: Subscriptions are billed monthly or annually in advance via Stripe. All prices are exclusive of VAT where applicable.
  • Cancellation: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial periods except where required by law.
  • Failed payments: If payment fails, we will retry and notify you. Access may be suspended after 7 days of failed payment.
  • Price changes: We will provide 30 days' notice of price increases. Continued use after the notice period constitutes acceptance.

6. Intellectual property

Our IP: The Service, including software, algorithms, UI, and documentation, is owned by the Aeqora service operator. These Terms do not transfer any IP rights to you.

Your data: You retain ownership of all data, documents, and content you upload or create within the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide the Service.

AI-generated outputs: Documents, classifications, and assessments generated by the Service are provided as drafts. You are responsible for reviewing, validating, and approving all AI-generated content before use.

7. Data and privacy

Our Privacy Policy governs how we collect, use, and protect your data and is incorporated into these Terms by reference. Customer personal-data processing requires the applicable GDPR processing terms. Request the current agreement through our Trust Center.

8. Disclaimers and limitation of liability

Service disclaimers: The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that compliance outputs will satisfy regulatory requirements.

Limitation of liability: To the maximum extent permitted by applicable law, the service operator's total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts paid by you in the 12 months preceding the claim, or (b) €500. We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Irish law: Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Irish law.

9. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if you breach these Terms, engage in unlawful activity, or if required by law. Upon termination, your right to access the Service ceases. Cancellation does not automatically delete compliance records. Contact us to arrange export and erasure and confirm the applicable retention schedule, including backup and supplier deletion periods, under our Privacy Policy.

10. Governing law and disputes

These Terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ireland. Mandatory consumer protections, including applicable jurisdiction rights, remain unaffected. The EU ODR platform closed on 20 July 2025. Current consumer dispute-resolution bodies are listed by the European Commission.

11. Changes to terms

We may update these Terms from time to time. We will notify you by email and in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
